Terms of Service

The terms you agree to when you sell or buy on Unlockable, in plain English.

This is a draft, pending review by our lawyers

It describes how Unlockable works today and is published so that it exists rather than because it is final. Sections marked in square brackets are placeholders that must be completed from the company records. It is not legal advice to you, and you should not rely on it as a legal opinion.

These terms cover your use of Unlockable — the website at unlockable.org, the web app at unlockable.app, and the mobile apps. They are written in plain English on purpose. Where a term is defined, it is in bold the first time.

DRAFT — pending review by our lawyers. This document describes how the service actually works today and is published so that it exists rather than to be final. It has not yet been reviewed by a qualified lawyer. It is not legal advice to you.

Before this is final, these must be completed

The registered company name, company number and registered address are placeholders and must be filled in from the company records. The governing law and the section on liability limits should be settled by a lawyer for the jurisdiction the company is registered in. Nothing here should be relied on as a legal opinion.

1. Who we are

Unlockable is operated by [COMPANY NAME TO BE CONFIRMED], a company registered in [JURISDICTION TO BE CONFIRMED] with company number [NUMBER TO BE CONFIRMED], whose registered office is at [REGISTERED ADDRESS TO BE CONFIRMED]. In these terms, "we", "us" and "Unlockable" mean that company.

You can contact us at support@unlockable.org.

2. What Unlockable is

Unlockable lets someone put a file or a set of files behind a link with a price on it. A buyer opens the link, pays, and gets access. That is the whole service.

Three things Unlockable is not, because they shape everything below:

  • We are not the merchant of record. When you sell something, you are the seller. We run the payment rail and pay you. Sales tax, VAT and your income tax are your responsibility, not ours.
  • We are not a bank. Your balance with us is a record of what we owe you. It is not a deposit account and it is not covered by any deposit guarantee scheme.
  • We are not a party to the deal between you and your buyer. What you promise them, and whether you deliver it, is between the two of you.

3. Your account

You need an account to sell. You do not need one to buy.

To sell, you must:

  • Be at least 18 years old, and able to enter into a contract
  • Give us accurate information, and keep it accurate
  • Complete identity verification when we ask for it
  • Keep your login credentials to yourself

You are responsible for what happens through your account. Tell us straight away at support@unlockable.org if you think someone else has access to it.

We may suspend or close an account that breaks these terms. Where it is reasonable to do so, we will tell you why and give you a chance to put it right.

4. Selling

What you can sell

Any digital file you have the right to sell. There is no list of permitted formats. The limits are 100 MB per file and 10 GB of storage per account.

What you cannot sell

  • Content you do not own or have the right to distribute
  • Content that is illegal, or that infringes someone else's rights
  • Content involving the sexual exploitation of minors, or any non-consensual sexual content
  • Malware, or files whose purpose is to damage or gain unauthorised access to someone else's system
  • Content that breaks our Content Guidelines

Your responsibilities as a seller

  • Deliver what you promised. The buyer is paying for what your description says they are getting.
  • Describe it accurately. If a product needs particular software, or is a template rather than a finished file, say so before they buy.
  • Handle your own tax. See section 2.
  • Respect your buyers' rights. If you sell someone's image, likeness or work, you need their permission.
  • Answer your buyers. We provide the payment rail and a support route, but the product is yours.

What buyers may do with what they buy

Unless you say otherwise in your description, a buyer gets a personal, non-transferable licence to use what they bought. They may not resell it, redistribute it as stock, or pass it off as their own. You are free to offer a broader licence — if you do, state it in the description, because that description is what the buyer is entitled to rely on.

5. Buying

You can buy without creating an account.

Before you pay, the checkout shows:

  • The name of what you are buying
  • The price the seller set
  • The privacy & security fee as its own line
  • The total you will actually be charged

Prices are set by sellers, in US dollars, pounds sterling or euros. The currency you are charged in is shown before you pay.

When you buy, you get a personal, non-transferable licence to use what you bought, on the terms in the seller's description. You do not get ownership of it, and you may not resell it or redistribute it unless the seller says you may.

If something is wrong with your purchase

See Billing Support. In short: purchases carry a 30-day money-back guarantee, and the process for using it is on that page.

6. Fees and payment

Selling on Unlockable costs nothing until something sells. There is no monthly fee, no listing fee and no charge for uploading.

When a sale happens:

Platform fee10% of the price the seller set
Privacy & security fee10%, paid by the buyer on top of the price
What the seller receives80% of the price they set

So on a £40 sale, the buyer pays £44, and the seller receives £36. Card processing costs come out of our share, not the seller's.

Payments are processed by Stripe and PayPal. A buyer is redirected to the processor to pay. Card details are entered on the processor's page and never reach Unlockable — we do not receive, store or have access to your card number.

We may change our fees. We will give existing sellers notice before a change applies to them, and a change never applies to a sale that has already happened.

7. Payouts

Money from a sale settles after five working days. Working days means weekends and public holidays do not count.

Once settled, it moves from your pending balance to your available balance, and you can request a payout. The minimum payout is £20, or the equivalent in your wallet currency.

Before your first payout you must complete identity verification and add a bank account. Payouts are reviewed by a person before they are released. That is slower than an automatic transfer, and it is deliberate.

We may withhold or reverse a payout where a sale is refunded, disputed or found to have been fraudulent.

8. Refunds, disputes and chargebacks

Purchases carry a 30-day money-back guarantee. How to use it is set out in Billing Support.

When a refund is issued, the earnings are reversed from the seller's balance. The five-working-day settlement period exists partly so that a refund can be paid from money that has not yet been released.

If a buyer raises a chargeback with their bank instead, we will tell the seller and may ask for evidence that the product was delivered.

9. Content and ownership

You keep ownership of everything you upload. Nothing in these terms transfers your copyright to us.

To run the service we need a limited licence to store your file, to deliver it to people who have paid for it, and to make the technical copies that involves (backups, thumbnails, previews). That licence lasts as long as you keep the content on Unlockable, and ends when you delete it — except for copies already held in backups, which expire on the schedule in our security documentation, and copies a buyer has already downloaded.

You are responsible for making sure you have the rights to everything you upload.

10. Moderation and removal

Uploads are screened automatically, and anything flagged is reviewed by a person.

We may remove content, or suspend an account, where we reasonably believe these terms or our Content Guidelines have been broken, where we are legally required to, or where a payment processor requires it. Where we can, we will tell you what was removed and why.

If you think we got it wrong, tell us at support@unlockable.org and we will look at it again.

11. Availability

We aim to keep Unlockable available, but we do not promise uninterrupted service. We may need to take it down for maintenance, and we may change or discontinue features.

If we discontinue the service entirely, we will give reasonable notice so that sellers can retrieve their content and request any outstanding balance.

12. Our liability to you

Nothing in these terms limits liability that cannot be limited by law — including for death or personal injury caused by negligence, and for fraud.

Subject to that, and to the extent the law allows:

  • We are not liable for losses that were not reasonably foreseeable
  • We are not liable for lost profits, lost sales or lost goodwill
  • Our total liability to you is limited to the greater of the fees you paid us in the twelve months before the claim and [AMOUNT TO BE CONFIRMED]

We are not responsible for what sellers sell, or for what buyers do with it.

[THIS SECTION MUST BE REVIEWED BY A LAWYER FOR THE RELEVANT JURISDICTION.]

13. Changes to these terms

We may update these terms. If a change is material, we will tell account holders before it takes effect. Continuing to use Unlockable after a change means you accept the updated terms.

The date at the top of this page is when it was last changed.

14. Governing law

These terms are governed by the law of [JURISDICTION TO BE CONFIRMED], and the courts of that jurisdiction have exclusive jurisdiction over any dispute.
